2. Scope

These general terms and conditions (the “Terms”) apply to the services the Provider offers under the name ScoreboardCast: the scoreboard mobile app (the “App”), the display that runs on the TV (the “TV Display”), and the related installation, training, support, equipment packages and custom development. The Terms form part of every contract with the customer (the “Customer”) unless the parties agree otherwise in writing. A separate written agreement (for example a quote) takes precedence over the Terms.

The Terms are intended mainly for businesses, associations, sports clubs, schools and other institutions. Where the contracting party is a consumer (a natural person acting outside their trade, business or profession), the special rules in section 13 also apply, and mandatory consumer law prevails over the Terms.

The language of the contract is Hungarian. The English version is a courtesy translation; if they differ, the Hungarian text prevails. The Provider stores the concluded contract (quote and acceptance) electronically and makes it available to the Customer on request.

3. The services

  1. Software license. The right to use the App and the TV Display under the chosen plan (Start, Club, Pro), per venue, for a fixed term. The content and price of the plans are set out on the Website and in the quote.
  2. Installation and training. Remote setup and training, or on-site installation, as set out in the quote.
  3. Equipment package (“turnkey package”). TV, mount, ball guard, router and installation, together with the ordered license.
  4. Custom development. A custom layout, a new sport or an integration, under a separate quote.
  5. Support. E-mail, phone or priority support according to the plan.

Features marked “coming soon” on the Website are under development. The Provider commits to their availability or timing only where the quote expressly states it.

4. Technical requirements and third-party services

5. Quote and conclusion of the contract

  1. The Customer can request a quote through the Website or by e-mail. A quote request is non-binding and is not a contract.
  2. The Provider sends a quote in writing (by e-mail), which, unless stated otherwise, is binding for 30 days from sending.
  3. The contract is concluded when the Customer accepts the quote in writing (e-mail is sufficient) or the Provider confirms the Customer's order in writing.
  4. Trial period. The Provider offers a free 30-day trial on the Customer's own TV. The trial is free of charge, creates no payment obligation and ends automatically when it expires unless the Customer concludes a license contract.

6. Prices and payment

  1. Prices are stated on the Website and in the quote in Hungarian forints, net; the Provider shows value added tax (VAT) on the invoice as required by law. For consumers the Provider states gross prices.
  2. The license fee covers the period stated in the contract (usually one year, payable in advance). A longer prepaid period (for example 3 years) is set out in the quote.
  3. The Provider issues and sends invoices electronically. Payment is by bank transfer to the account on the invoice. Unless agreed otherwise, the payment deadline is 8 days from the invoice date.
  4. In case of delay, the Provider may charge the late-payment interest provided by the Hungarian Civil Code.
  5. The Provider may change its prices; the fee of a concluded contract does not change during its term, or before the next renewal, without at least 30 days' written notice.
  6. Renewal is always based on the Customer's express written (e-mail) acceptance; automatic renewal applies only if the quote expressly provides for it and, for consumers, the law allows it.

7. License and intellectual property

  1. The App, the TV Display, the ScoreboardCast name and logo, the design and the documentation are the Provider's intellectual property. Against payment, the contract grants a non-exclusive, non-transferable, non-sublicensable right of use for the term of the contract, for the organization and venue(s) named in the contract.
  2. The Customer may not copy, decompile, modify or resell the software, or use the license at a venue other than the one named, except where the law expressly permits it.
  3. The Customer is responsible for the content it supplies (club and sponsor logos, team names, images) and warrants that it holds the rights necessary to use it. The Provider uses such content only to provide the service and does not review it.
  4. The Provider may name the Customer as a reference unless the Customer prohibits this in writing.

8. Availability and use

9. Warranty and fault handling

  1. The Provider is liable for performance in accordance with the contract under the Hungarian Civil Code (Act V of 2013, the “Civil Code”). The Customer should report a defect by e-mail within a reasonable time of discovering it, describing the defect.
  2. The Provider endeavors to remedy a reported defect as quickly as possible, taking the plan's support level into account.
  3. Equipment sold as part of the service (TV, router, etc.) is covered by the manufacturer's or distributor's guarantee and the statutory warranty rules; the guarantee card is handed over with the equipment.
  4. The Provider is not liable for faults caused by improper use, by modifications made by a third party or by a defect in the Customer's network.

10. Liability

  1. The parties are liable for breach of contract under the Civil Code. For a business Customer, the Provider's liability for damages, except for damage caused intentionally, damage to life, bodily integrity or health, and damage caused by a criminal offence, is limited to the fees paid under the contract in the relevant year and does not cover lost profit or indirect damage.
  2. The Provider is not liable for damage caused by the outage of third-party services (Google, hosting, network and internet providers), or for disruption of events through an outage of the scoreboard, where the outage is due to a cause independent of the Provider.
  3. The Customer is advised to keep a backup solution (for example a paper score sheet) available at important games.
  4. This limitation does not affect the rights consumers have by law.

11. Term and termination

  1. The license contract is concluded for the term stated in the quote (by default 1 year) and ends at expiry; renewal follows section 6.
  2. Either party may terminate a fixed-term contract with immediate effect, in writing, if the other party commits a serious breach and, despite notice, does not remedy it within 15 days.
  3. The Provider refunds the proportionate part of the prepaid fee only if the Customer lawfully terminated the contract because of the Provider's breach.
  4. When the contract ends, the right of use ends. Data stored locally in the App on the Customer's phone remains under the Customer's control and can be deleted by the Customer.

12. Privacy

Personal data is processed in accordance with the Privacy policy. If the Customer enters other people's personal data while using the service (for example player names), the Customer is responsible for processing it lawfully.

13. Special rules for consumers

13.1 Right of withdrawal

For a distance contract (for example one concluded by e-mail, phone or online), the consumer has under Hungarian Government Decree 45/2014 (II. 26.) the right to withdraw within 14 days without giving a reason. For a service contract, the period starts on the day the contract is concluded; for goods, on the day the goods are received. The consumer can declare withdrawal clearly, for example by e-mail to info@scoreboardcast.app. The deadline is met if the declaration is sent before it expires.

On withdrawal, the Provider refunds the amount paid within 14 days of learning of the withdrawal, except for extra costs arising from the consumer choosing a delivery method other than the cheapest standard one. The consumer must return the goods no later than 14 days after declaring withdrawal and bears the cost of returning them.

If, at the consumer's express request, the service begins before the withdrawal period ends, the consumer pays a proportionate amount for the service already provided if they withdraw. There is no right of withdrawal for goods or services made to the consumer's specifications or clearly personalized, nor, once the service has been fully performed, where performance began with the consumer's prior express consent and acknowledgement.

Model withdrawal form: “I hereby give notice that I withdraw from my contract of sale of the following goods / for the provision of the following service: … (description). Ordered on / received on: … Name of consumer: … Address of consumer: … Date: …”

13.2 Statutory warranty

Consumers have the statutory rights under the Civil Code, Government Decree 373/2021 (VI. 30.) on contracts for digital content and digital services, and Ministerial Decree 19/2014 (IV. 29.) on contracts of sale (conformity, product liability, guarantee), which these Terms do not restrict. The consumer must notify a defect within two months of discovering it and is liable for damage caused by delay in notification.

14. Complaints and remedies

  1. The Customer can submit a complaint to info@scoreboardcast.app. The Provider investigates it and replies in writing on the merits within 30 days. If a complaint is rejected, the Provider gives reasons and informs the consumer of further remedies.
  2. A consumer may turn to the conciliation board competent for their place of residence or stay, or for the Provider's registered office. The board competent for the Provider's seat is the Bács-Kiskun County Conciliation Board (Bács-Kiskun Vármegyei Békéltető Testület), Árpád krt. 4, 6000 Kecskemét, e-mail: bekeltetes@bacskiskun.mkik.hu. The Provider is obliged to cooperate in conciliation proceedings. The consumer may also go to court or complain to the consumer protection authority.
  3. For disputes between businesses, the parties apply Hungarian law and submit to the exclusive jurisdiction of the Kecskemét District Court or, depending on competence, the Kecskemét High Court.

15. Miscellaneous

  1. The contract is governed by Hungarian law, in particular the Civil Code, Act CVIII of 2001 on electronic commerce and information society services, and consumer protection legislation.
  2. The Provider may amend the Terms unilaterally. An amendment takes effect on publication on the Website, and for contracts already concluded when the Provider has notified the Customer by e-mail at least 15 days before it takes effect. An amendment does not change the price or essential content of a concluded contract to the Customer's disadvantage.
  3. If any provision of the Terms is invalid, the validity of the others is unaffected.
